Acceptance of Terms
By accessing and using Mdar X services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, you may not access or use our services. We reserve the right to modify these terms at any time. Your continued use of our services after any changes constitutes acceptance of the new terms.
User Accounts
When you create an account with us, you must provide accurate, complete, and current information. You are responsible for safeguarding the password that you use to access our services and for any activities or actions under your password. You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.
Payment Terms
Certain services may require payment. You agree to provide accurate billing information and to pay all fees associated with your use of our services. All payments are non-refundable unless otherwise stated. We reserve the right to change our pricing at any time. Any price changes will be communicated to you in advance and will apply to subsequent billing cycles.
Prohibited Activities
You agree not to use our services for any unlawful purpose or in any way that could harm, disable, or impair our infrastructure. Prohibited activities include, but are not limited to: sending unsolicited commercial messages or spam, unauthorized access to systems or third-party APIs, malware distribution, harassment, fraud, and any activity violating third-party platform terms (including Meta/WhatsApp policies). Violation of these restrictions may result in immediate account termination.
Messaging Compliance & WhatsApp Anti-Spam Policy
When utilizing our conversational AI tools and integrations powered by the WhatsApp Business API, the client agrees to the following mandatory terms: • Content Responsibility: The client assumes sole and full legal responsibility for all messages, media, and communications sent through their account. Mdar X acts solely as a technical provider and exercises no control over, nor assumes any liability for, client-transmitted content. • Anti-Spam Strict Prohibition: The transmission of unsolicited messages (spam), unauthorized bulk communications, deceptive campaigns, or messaging recipients without prior verifiable consent (opt-in) is strictly prohibited. • Meta & WhatsApp Policies: Clients must strictly comply with WhatsApp's Business Messaging Policy, Meta's Commercial Terms, and acceptable use standards at all times. • Immediate Service Suspension: Mdar X reserves the absolute right to throttle, suspend, or terminate access to messaging APIs immediately and without prior notice upon detection of spamming, abnormal block rates, or violations of Meta/WhatsApp policies.
Intellectual Property
All content, features, and functionality of our services, including but not limited to text, graphics, logos, icons, images, and software, are the exclusive property of Mdar X and are protected by international copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any content without our prior written consent.
Limitation of Liability
In no event shall Mdar X, its directors, employees, partners, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or other intangible losses, resulting from your access to or use of our services. Our total liability for any claims arising out of or relating to these terms or our services shall not exceed the amount you have paid to us in the preceding twelve months.
Disclaimers
Our services are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied. We do not warrant that our services will be uninterrupted, timely, secure, or error-free. We disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Arab Republic of Egypt, without regard to conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts in Cairo, Egypt. If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
Termination
We may terminate or suspend your account and access to our services immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms of Service. Upon termination, your right to use our services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive.
Changes to Terms
We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our services after those revisions become effective, you agree to be bound by the revised terms.
